Terms of Service

1. Who May Use the Service (Eligibility)

Age Requirements: You must be at least 13 years old to use the Service.

Permission by Parent or Guardian: If you are under the age of legal majority in your jurisdiction, you may use the Service only with the permission of your parent or legal guardian. Please have them read these Terms with you.

Businesses: If you are using the Service on behalf of a company or organization, you represent that you have the authority to act on behalf of that entity, and that entity accepts these Terms.

2. Your Use of the Service: Permissions and Restrictions

You may access and use the Service as made available to you, as long as you comply with these Terms and applicable law. You are strictly prohibited from:

Unauthorized Access & Scraping: Accessing, reproducing, downloading, distributing, or scraping any part of the Service using automated means (such as bots, botnets, or scrapers) without our prior written permission.

Circumventing Security: Circumventing, disabling, fraudulently engaging with, or otherwise interfering with any part of the Service (or attempting to do any of these things), including security-related features.

Commercial Misuse: Using the Service for any unsolicited promotional or commercial purposes without our authorization.

AI Model Abuse: Using our Service or AI outputs to develop, train, or improve any competing artificial intelligence models or foundation models.

3. Nature of AI Services & Disclaimers

Fictional Content: The Service provides interactive AI companions and theater plots generated by algorithms. AI-generated characters, conversations, narratives, and other content are provided primarily for entertainment. AI-generated content may be fictional, inaccurate, incomplete, or unrelated to real-world facts. Any resemblance to actual persons or events may be coincidental or generated from information available to the underlying AI systems.

AI Hallucinations: You acknowledge that machine learning models may occasionally produce outputs that are inaccurate, offensive, or nonsensical ("hallucinations").

No Professional Advice: AI-generated content is for entertainment purposes only and must never be construed as medical, psychological, legal, financial, or other professional advice. You bear the sole risk of relying on any AI outputs.

4. Your Content and Conduct

Rights You Retain: You retain all ownership rights to the text, prompts, and information you input into the Service ("Inputs").

License to Theoremind LLC: By submitting or uploading Inputs, you grant Theoremind a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, reproduce, modify, transmit, and display your Inputs solely for the purpose of operating, maintaining, improving, and developing our Services (including real-time LLM processing and security moderation).

AI Outputs: Subject to your compliance with these Terms, to the maximum extent permitted by applicable law, Theoremind LLC does not claim copyright ownership over the content generated by the AI based on your Inputs ("Outputs"). Theoremind LLC hereby grants you a non-exclusive, worldwide, royalty-free license to use, publish, and exploit such Outputs for your own personal or commercial purposes. You acknowledge and agree that: (i) AI-generated outputs may not be protectable under applicable copyright laws due to the lack of human authorship; (ii) the same or similar Outputs may be generated for other users based on their inputs, and you do not obtain any exclusive rights over such Outputs.

Acceptable Use Policy (AUP): You must not use the AI to generate, request, or distribute illegal content, Child Sexual Abuse Material (CSAM), extreme violence, non-consensual explicit imagery (deepfakes), or hate speech.

5. Pricing, Subscriptions, and Purchases

Current Free Access: Core features of the Service are currently available free of charge.

Future Monetization: We reserve the right, at our sole discretion, to introduce fees for the Service in the future. This may include, but is not limited to: premium recurring subscriptions for advanced AI models or exclusive features; purchasing virtual items, tokens, or credits for in-app interactions; and purchasing physical merchandise related to AltersGo or other intellectual property owned or licensed by Theoremind LLC.

Suspension and Appeals: Except in cases of severe violations (such as generating illegal content, CSAM, or system security threats) or where legally prohibited, Theoremind will provide you with reasonable advance notice and an opportunity to appeal any suspension or termination of your account. You may submit an appeal and request manual review by contacting our support team at info@altersgo.com.

Notice of Changes: If we introduce paid features or subscriptions, you will be informed of the applicable price and terms before purchase. We will not charge you unless you affirmatively agree to the applicable purchase or subscription.

6. Account Suspension and Termination

Terminations by You: You may stop using the Service and delete your account at any time through your account settings.

Terminations by Us: We may suspend or terminate your account or your access to all or part of the Service if: (a) you materially or repeatedly breach these Terms; (b) we are required to do so to comply with a legal requirement or a court order; or (c) we reasonably believe that your conduct causes harm or liability to a user, third party, or Theoremind.

Treatment of Paid Virtual Assets: If we terminate your account for convenience, or if your account is suspended due to an unproven violation, we will refund any unused, paid virtual tokens or credits on a pro-rata basis. However, if your account is terminated due to your material breach of these Terms (such as a violation of our Acceptable Use Policy), all your remaining virtual items and credits shall be forfeited without refund, subject to applicable local laws.

7. Disclaimer of Warranties and Limitation of Liability

Disclaimer: THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THEOREMIND LLC, ITS AFFILIATES, OFFICERS, AND EMPLOYEES WILL NOT BE RESPONSIBLE FOR ANY LOST PROFITS... OUR TOTAL LIABILITY... IS LIMITED TO THE GREATER OF $100 USD OR THE AMOUNT YOU PAID TO US IN THE 12 MONTHS BEFORE THE DISPUTE.

NOTHING IN THESE TERMS SHALL LIMIT OR EXCLUDE THEOREMIND'S LIABILITY FOR DEATH, PERSONAL INJURY CAUSED BY NEGLIGENCE, GROSS NEGLIGENCE, WILLFUL MISCONDUCT, FRAUD, OR ANY OTHER LIABILITY THAT CANNOT BE LAWFULLY EXCLUDED OR LIMITED UNDER APPLICABLE CONSUMER PROTECTION LAWS.

8. Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Theoremind LLC, its affiliates, officers, directors, and employees from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of the Service; (ii) your violation of any term of these Terms; or (iii) your violation of any third party right, including copyright, property, or privacy right.

9. About This Agreement (General Terms)

Modifications to the Agreement: We may modify these Terms to reflect changes to our Service or for legal, regulatory, or security reasons. We will provide reasonable advance notice of any material modifications.

Severability: If any specific term of these Terms is found to be unenforceable, this will not affect any other terms.

No Waiver: If you do not comply with these Terms, and we do not take action immediately, this doesn't mean we are giving up any rights that we may have (such as taking action in the future).

Governing Law: These Terms and any dispute arising out of or relating to these Terms or the Service will be governed by and construed in accordance with the laws of the State of Oklahoma, without regard to its conflict-of-laws principles. If you are a consumer, this choice of law does not deprive you of any mandatory protections provided by the laws of the jurisdiction in which you reside that cannot be waived by contract.

Dispute Resolution and Binding Individual Arbitration: You and Theoremind agree to resolve any disputes through binding individual arbitration instead of in a court of general jurisdiction. The arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Unless otherwise agreed by the parties, arbitration may be conducted remotely, in Oklahoma, or in the county or other jurisdiction where you reside, as permitted under the applicable arbitration rules.

Exceptions: Both you and Theoremind retain the right to bring an individual action in a small claims court.

Class Action Waiver: YOU AND THEOREMIND LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

Opt-Out Right: You have the right to opt out of this arbitration agreement and class action waiver within thirty (30) days of creating your account by sending a written notice to info@altersgo.com.

Limitation on Legal Action: YOU AND THEOREMIND LLC AGREE THAT ANY CAUSE OF ACTION ARISING OUT OF OR RELATED TO THE SERVICE MUST COMMENCE WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES. OTHERWISE, SUCH CAUSE OF ACTION IS PERMANENTLY BARRED.
